REQUEST FOR PROPOSAL THIS IS NOT AN OFFER ** April **** Via Email Dear Sirs: CRS RESOURCES, S.L.U. (the “Company”) invites your firm to make a proposal for providing the Company with the consulting services in connection with tax compliance, tax advice and legal services (the “Matter”). In order to help you to prepare your bid proposal, we set forth below the desired scope of work and terms and conditions for the engagement for your reference. *. Scope of Work You are kindly requested to provide the Company with the following services: (A) Tax service including, Ø Annual corporate income tax (CIT) return, Ø CIT interim payments, Ø Tax form to declare transactions with related parties and tax havens, Ø Tax form to inform on the CbCr submission by the group, where applicable; (B) Other tax compliance, upon request, including, Ø Non-residents tax forms, Ø Payroll taxes and professional withholding tax forms, Ø Preparation and Submission of VAT return form, Ø Tax form ***: applicable if the company has certain earnings from liquid capital or certain financial income, Ø ETE form and all the census forms; (C) Ongoing tax advisory including, Ø International tax advice, in connection with the activities carried out by the Company from a Spanish tax perspective, Ø Reply to tax queries raised by the Company, Ø Acting for the Company in tax authority enquiries, Ø Attendance at on-site tax authority audits, Ø Preparing/agreeing valuations required for tax purposes, Ø Considering the adequacy of the company transfer pricing arrangements and documentation, Ø Tax advisory services in relation to OECD BEPS Pillar two; (D) Legal services including, Ø Distribution of dividends of the Company, Ø Special corporate activities or transactions, such as share capital increase or reduction, merger, spin-off, transformation, migration, as well as legal services and defense in judicial, administrative, arbitration proceedings, or similar, contractual matters, advising regarding the day-by-day corporate issues and/or any other legal issue required. * Terms and Conditions You are kindly requested to submit a bid proposal together with your required KYC procedure, including the list of required documents and expected onboarding timeline, to this invitation on the following terms and conditions. (A) Acceptance/Rejection of Bid. The Company reserves the right to accept or reject any or all bids, in whole or in part, and to make any decision in any manner deemed in the best interest of the Company. (B) Required Information. Each bid must include sufficient information specified in this invitation for the evaluation by the Company. Absence of required information may result in disqualification. (C) No Subcontracting. The successful firm shall not assign, transfer or subcontract any portion of the legal services to be provided under an engagement letter without prior written consent of the Company. (D) No Retainer. The Company will not make any advance payment or retainer for the services to be provided. The payment of service fees incurred in relation to the Company shall be made periodically or in stages. (E) Late Bid. Late bid will automatically be disqualified from further consideration. (F) Spanish Firm Only. * Required Information The bid proposal must contain, at minimum, the information as follows: (A) Detailed scope of work and services you will provide for the Company as required by Spain law. (B) Itemized binding fees for each service for the Company. (C) Charging rate for consulting services, other costs and expenses. (D) Staffing plan (indicating the contact person to be assigned to the Company). (E) Concise and specific outline of your firm’s relevant experiences to the Matter in nature, past experiences with the Company (if any), business license or certificate of incorporation. The Evaluation Form is attached as Attachment for your reference. PLEASE NOTE: SUBJECT TO THE FINAL ENGAGEMENT LETTER, DURING THE TERM OF THE ENGAGEMENT, SINOCHEM WOULD NOT ADJUST THE CAPPED FEE. YOUR FIRM, IF SELECTED, SHALL BE SOLELY RESPONSIBLE FOR ANY CONSEQUENCE RESULTING FROM ANY INACCURATE WORKLOAD ESTIMATION. SINOCHEM RESERVES THE RIGHTS IN ACCEPTANCE OR REJECTION OF YOUR BID AT OUR SOLE DISCRETION. * Communication and Delivery For communication or clarification,your esteemed firm could send your question via email to *********** For delivery, your esteemed firm is required to send your proposal via email to Sinochem’s solely designated recipient: scpep.*********** before **:**, **th April, ****, Beijing time. Charging rate quotes (** points) Based on the fee quotation (charging rate) of other consulting and advice services fee of the bidding firm, a score of *-** points are awarded as appropriate. Technical Score(** points) Firm size, ranking and industry experience(*-** points) Based on the size, ranking, industry experience of the bidding firm, a score of *-** will be awarded as appropriate. Have provided legal and tax consulting services for at least * global company, and have engaged with more than * global companies can obtain full scores. Personnel and staffing plan(** points) Based on the staffing plan and responsiveness of the bidding firm, a score of *-** will be awarded as appropriate. Former cooperation with Sinochem/Company(** points) Based on the former cooperation with Sinochem Group/ the Company of the bidding firm, a score of *-** will be awarded as appropriate.
